Sutera Sites – Terms of Service

These Terms of Service (“Terms”) govern the relationship between Sutera Sites (“we”, “us”, “our”) and the client (“you”, “your”) in relation to website design, hosting, and related digital services provided by Sutera Sites.
By purchasing, subscribing to, or using any of our services, you agree to these Terms.
1. Services Provided
Sutera Sites provides the following services:
Custom website design and development
Hosting and maintenance plans
Domain management (optional)
SEO setup and on-page optimisation
Optional add-on services such as automation setup or ads management
Service details, scope, and pricing are outlined in the proposal or invoice for each individual client project.
2. Payment Terms
A 50% deposit is required to commence any website project unless otherwise agreed in writing.
The remaining 50% is due upon project completion and before the website is transferred or launched live.
Hosting, maintenance, and other recurring fees are billed monthly in advance.
All invoices must be paid within 7 days of issue. Late payments may result in service suspension.
All fees are in AUD unless otherwise stated.
3. Hosting and Maintenance
All websites hosted through Sutera Sites include:
Secure hosting
Routine uptime monitoring
Basic maintenance and minor updates (e.g., text/image swaps up to 15 minutes per month)
Monthly bandwidth allowance of 10 GB
If a website exceeds 10 GB of monthly bandwidth usage for two consecutive months, Sutera Sites reserves the right to upgrade the hosting plan to ensure continued reliability and performance.
In this case, the monthly hosting fee will automatically increase from $50 to $70. Clients will be notified before any upgrade occurs.
Hosting fees are non-refundable once the billing period has begun.
4. Domain Registration
If Sutera Sites registers or manages a domain name on your behalf:
The domain remains your property as long as all invoices related to it are paid.
You may request domain transfer at any time after the first year of service, provided your account is in good standing.
Domains are typically renewed annually and billed separately from hosting.
5. Revisions and Edits
Each website project includes one main revision round after the initial design presentation.
Additional revisions or feature changes beyond the agreed scope will be billed at our hourly rate or as a new project quote.
6. Client Responsibilities
You agree to:
Provide accurate and complete information, text, and media for your website.
Review all materials promptly and communicate feedback within agreed timelines.
Ensure any content you provide does not infringe on third-party rights or contain illegal material.
Delays in providing content or feedback may affect project timelines.
7. Intellectual Property
Upon full payment:
You own all rights to your website’s design, copy, and imagery (except stock assets or proprietary frameworks).
Sutera Sites retains the right to display completed projects in our portfolio, case studies, and marketing materials.
If the project is cancelled before completion, Sutera Sites retains ownership of all work produced up to that point.
8. Cancellation & Termination
Either party may terminate an ongoing project with written notice.
Deposits are non-refundable once design or development work has begun.
Monthly hosting and maintenance can be cancelled at any time with 7 days’ notice before the next billing cycle.
If hosting payments lapse for more than 14 days, the website may be suspended until payment is made.
9. Limitation of Liability
Sutera Sites is not liable for:
Any loss of data, revenue, or business resulting from downtime, third-party service outages, or unforeseen circumstances.
Any damages exceeding the total amount paid by you for the services within the previous 3 months.
We will, however, make every reasonable effort to maintain service uptime and respond promptly to issues.
10. Privacy and Data
Any information you share with Sutera Sites is used solely for the purpose of providing our services.
We will never sell or share your data with third parties without consent, except when required by law.
All client data is stored securely and handled in accordance with Australian privacy standards.
11. Future Services (Automations, Ads, AI Integrations)
Any future add-on services such as marketing automations, CRM integrations, or ad management will be governed by separate addenda or agreements, but still bound by the general terms outlined here (especially regarding payments, cancellations, and data use).
12. Changes to These Terms
Sutera Sites reserves the right to update or modify these Terms at any time. Any material changes will be communicated to active clients with at least 7 days’ notice.
